Terms of Service

These Terms of Service ("Terms") govern access to and use of MistScale ("MistScale," "we," "us"), including the mistscale.com website, the dashboard, the API, and the WebSocket-based SDKs (together, the "Service"), operated by MistScale Inc. By creating an account or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of a studio or company, you are agreeing on its behalf and confirming you have authority to do so.

1. The Service

MistScale is a platform that gives game NPCs persistent memory, evolving mood, and per-player relationships, delivered to your game over a WebSocket connection and configured through the MistScale dashboard and REST API. Features, limits, and available plans may change over time as the Service develops.

2. Accounts

You must provide accurate information when creating an account and keep your login credentials and API keys confidential. You are responsible for all activity that happens under your account and for promptly notifying us at team@mistscale.com of any unauthorized use.

3. Subscriptions, Billing & Payment

Paid plans are billed through Paddle.com, our payment provider and Merchant of Record for every purchase. Paddle handles payment processing, invoicing, and applicable sales tax/VAT, and its own Buyer Terms apply to the transaction alongside these Terms.

  • Prices are shown in USD unless stated otherwise and may change with notice on the pricing page.
  • Subscriptions renew automatically each billing period until cancelled.
  • Changing your plan or billing interval (monthly/annual) takes effect immediately; Paddle charges or credits a prorated amount for the current billing period at the time of the change.
  • Cancelling a subscription stops future renewals; you keep access to your current plan's features until the end of the billing period already paid for.

4. Acceptable Use

You agree not to use the Service to:

  • Generate or facilitate illegal content, or content that sexually exploits minors;
  • Abuse, probe, or attempt to circumvent API rate limits, authentication, or quota enforcement;
  • Reverse engineer, resell, or white-label the Service without our written permission;
  • Interfere with the availability or integrity of the Service or other customers' use of it.

We may suspend or terminate accounts that violate this section.

5. Your Content

You retain ownership of the NPC personas, world knowledge documents, and other content you upload, and of your players' conversation data processed through your project. You grant MistScale a limited license to store and process that content solely to operate the Service for you (generating responses, retrieving memory, enforcing quotas, and similar operational purposes). We do not use your game content or player conversation data to train AI models.

6. Intellectual Property

MistScale and its licensors retain all rights in the platform, software, and SDKs. Nothing in these Terms transfers that ownership to you. You may use our SDKs and API only to build and operate your own game or application on top of the Service.

7. Third-Party Services

The Service relies on third-party infrastructure to operate, including payment processing through Paddle.com and cloud hosting and AI model inference through Microsoft Azure. Content sent through the Service (such as a chat message) may be processed by these providers strictly to deliver the Service to you.

8. Service Availability

We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation, and we may perform maintenance that causes brief downtime. Enterprise plans may carry their own separately agreed service commitments.

9. Termination

You may stop using the Service and cancel your subscription at any time from the dashboard. We may suspend or terminate your access if you materially breach these Terms, fail to pay amounts owed, or if required by law.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by law.

11. Limitation of Liability

To the extent permitted by law, MistScale will not be liable for indirect, incidental, or consequential damages, and our total liability arising from these Terms or the Service will not exceed the amount you paid us in the twelve months preceding the claim.

12. Changes to These Terms

We may update these Terms from time to time. We will update the date at the top of this page when we do; continued use of the Service after a change means you accept the updated Terms.

13. Governing Law

These Terms are governed by the laws applicable to MistScale Inc., without regard to conflict of law principles, without prejudice to any mandatory consumer protections that apply in your jurisdiction.
